Procedures for returning the company seal when terminating the operations of a subsidiary unit

While our company is in the process of dissolving a branch, do we need to return the company seal to the police?

Answer:

During the course of dissolving a branch, the obligation to surrender the company seal to the police is applicable solely in circumstances where the seal has become redundant and is no longer required for operational purposes. This obligation arises when the seal has been furnished by the police authority and is accompanied by an official seal design confirmation document. Consequently, when the return of the seal to the police is being executed, it is imperative to concurrently remit the official confirmation of the seal design.

Question:

Currently, our company intends to dissolve a Representative Office. According to the document requirements from the Business Registration Office – Department of Planning and Investment of Ho Chi Minh City, we need a “Confirmation letter of no seal engraving.” Could you please advise where I can obtain this document in order to prepare the complete dossier before submission?

Answer:

The Authority of Planning and Investment responds as follows: In instances where a Representative Office of a company was established prior to July 1, 2015, as per the regulations outlined in Clause 2, Article 15 of Decree No. 96/2015/NĐ-CP dated October 19, 2015, issued by the Government, the company is required to return the seal and the Certificate of Seal Sample Registration to the police agency that issued the Certificate of Seal Sample Registration. The police agency should provide a receipt upon the return of the seal, which should be subsequently incorporated into the dossier for the termination of the Representative Office’s activities. If the Representative Office does not possess a seal, the police agency will issue a confirmation letter indicating that the Representative Office has not engraved a seal. This confirmation letter should also be included in the dossier for the termination of the Representative Office’s activities.
