Regulations regarding the retrieval of a company’s old seal?

The seal of a company is a symbol of its identity and authority, often holding significant importance in various legal and business transactions. However, situations may arise where a company needs to retrieve an old seal, perhaps due to loss or changes in corporate structure. The regulations governing the retrieval of a company’s old seal play a crucial role in ensuring the integrity of corporate affairs. In this discussion, we will explore the legal framework and procedures concerning the retrieval of an old company seal, highlighting the importance of compliance and responsible management.

Question:

We are a business in District 1, Ho Chi Minh City. On March 12, 2020, our old seal was damaged, so we had a new seal made. Therefore, we would like to ask which authority we need to return the old seal to?

Answer:

– Enterprises established before July 1, 2015, must return the old seal and the Certificate of Seal Specimen Registration to the local police agency where authority issued the Certificate of Seal Specimen Registration. This requirement is in accordance with the provisions of Clause 2, Article 15 of Decree No. 96/2015/NĐ-CP dated October 19, 2015, of the Government, which details a number of articles of the Law on Enterprises.

– Enterprises established after July 1, 2015, and having their seals engraved by seal-making companies should take responsibility for destroying the old seal when creating a new one.

Conclusion

In conclusion, the regulations regarding the retrieval of a company’s old seal serve as a safeguard for maintaining the company’s legal standing and security. Adhering to these regulations is not only a matter of compliance but also a responsible corporate practice. As businesses navigate the complexities of corporate governance and legal requirements, understanding and following these regulations is essential for maintaining the company’s integrity and protecting its interests. Companies should always retrieve an old seal in accordance with the prescribed procedures, ensuring transparency and legal conformity in the corporate world.
